Partner agreement

Version 1. What Yumwi and a partner commit to do for each other. Accepted in My account, it is a written contract. This is a translation provided for information. The French version is the one that applies; in case of difference, it prevails.

1. Parties

  • Mathieu Vincenti EI, sous le nom commercial Yumwi, sole trader, 138 avenue Victor Hugo, 75016 Paris, France, SIRET 131 411 498 00010, email contact@yumwi.com, called "Yumwi".
  • The holder of the Yumwi account who accepts this agreement in My account, identified by that account and its email address, called "the partner".

2. Purpose

The partner promotes Yumwi to their audience, through their referral link or their Hub, on the media of their choice. There is no obligation of result, volume or schedule, and no exclusivity.

This agreement is a commercial collaboration under the French law of 9 June 2023 on commercial influence. It supplements the "Referrals" section of the terms of use, which still applies; on what it covers, it prevails.

3. What the partner receives

  • A commission of 30 % of each payment of a referred subscriber, excluding tax, for a Hub or a Pro subscription, as long as the referred subscriber stays subscribed and the partnership lasts. It replaces the ordinary referral rate.
  • A commission becomes available 30 days after the payment that creates it; it is taken back if that payment is refunded or disputed.
  • Available commissions are paid in money, once a month, from €50, to the bank account the partner declares to Yumwi's payment provider (Stripe), in the countries where that provider allows payouts (the European Economic Area, the United Kingdom and Switzerland); elsewhere, they accumulate and remain earned.
  • Where applicable, a free subscription during the partnership, granted to their account. It counts, at its public price, in the partner's yearly remuneration.
  • For their audience, a 20% discount on the first payment of any account created through their referral link, under the terms of sale (article 3). Their commission is calculated on the amount actually paid, after the discount. The partner agrees that this discount is announced, with their username, on the sign-up page opened by their link.

4. What the partner commits to

  • Show clearly, legibly and identifiably the mention "Ad" or "Commercial collaboration" on every post, video, story, page or newsletter promoting Yumwi, for its whole duration.
  • Present Yumwi fairly: promise nothing the service does not do, promise no earnings, never present it as investment advice.
  • Comply with the law and Yumwi's terms of use; do not pose as Yumwi, send unsolicited messages, refer yourself or create fake accounts.
  • Declare the sums received to the tax and social security authorities themselves.

5. What Yumwi commits to

  • Calculate and show the partner's commissions in the Referrals tab of their Hub, and pay them on the terms of article 3.
  • Notify the partner by email at least 30 days before any change to this agreement.
  • Only name the partner publicly as a partner with their consent.

6. Name and brand

The partner may use the Yumwi name and logo for their promotion, without changing them, for the duration of the partnership. Each party keeps its rights in its own content: Yumwi acquires no right in the partner's posts.

7. Duration and end

  • The partnership runs from the acceptance of this agreement, for the term set by Yumwi in the invitation (twelve months, renewable), or with no term.
  • Either party may end it at any time by email. Commissions already earned remain earned. The partner then returns, if subscribed, to the ordinary referral programme of the terms of use.
  • Fraud or a serious breach of article 4 ends the partnership without notice and cancels unpaid earnings.

8. Personal data

What Yumwi does with the partner's data is set out on the Privacy page.

9. Governing law

  • This agreement is governed by French law.
  • A partner acting as a consumer keeps the protection of the mandatory rules of their country of residence and may bring a claim before the court of their home.
